Location
We incorporate Limited Liability Companies in any State in the USA. We do recommend Colorado,
Arkansas and Delaware as being good States to form LLCs because of privacy, low cost, fast service and flexibility. The prices quoted are for these States - others may vary so please ask for a quotation.
Delaware has for many years been
considered an "offshore" location, due to its favourable
treatment of Corporations incorporated there, however Colorado
and Oregon and most other States are not seen in this way.
Types
of Company
Until fairly recently the only types of companies available in the
USA were Corporations. These had the major disadvantage of
being liable to US tax on all world-wide income. A Limited
Liability Company (LLC) is a relatively new legal entity
in the United States, differing from a Limited Partnership
in that all members have the same limited liability protection
as if the company were a corporation. Although the first
state to offer LLC´s was Wyoming (1977), these companies
were not taken seriously until 1988, when the US Internal
Revenue Service (IRS) ruled that LLC´s would be treated as
partnerships, with income flowing straight through to the
actual members.
As
well as being used as 'offshore' vehicles LLC´s can also
be used as prestigious operating companies within the
EC by registering them to trade with the relevant government
offices. Proform Offshore can handle this process on
your behalf if required.
Taxation
/Accounts
Provided the members of the company are not residents of
the USA and the LLC does not operate in the USA then there
is no US tax liability. Each LLC must nominate at least one
of the members to act as the manager of the company.

US Banks
Due to changes in US bank's security requirements post 9/11 we can unfortunately no longer assist with opening bank accounts in the US. However, we can assist in opening accounts for US companies outside the US. Clients can opt to approach US banks directly themselves but it is unlikely we could offer nominee director services for those companies since the banks are likely to require the directors to present themselves personally at the bank.
